Pocket-book guide on being a director

LAW firm Walker Morris has released a new and updated version of its "little green book of directors' duties."

The pocket-sized guide is packed full of what the company describes as "useful information that today's directors need to steer them through the increasing legal complexities of their corporate responsibilities."

Besides detailing a director's general legal duties, the book also deals with specific offences such as insider dealing, market abuse and the making of false, misleading or deceptive statements.

It has been updated to take account of the provisions that are due to come into force on October 1, 2007, as a result of the Companies Act 2006.

Complex

Paul Emmett, corporate partner at Walker Morris, said: "There is now a much more rigorous corporate governance environment.

"The whole area is complex, with potentially severe consequences – both in terms of fines and even imprisonment – for those found to have breached the rules.

"In many cases, ignorance of the law is no defence in court and so it is more important than ever that director's keep themselves abreast of their legal obligations.

"The idea of the book was to produce a useful, plainly written guide that can be used as a ready source reference."
